We’re happy to support your energy work. Let’s first make sure we’re on the same page — these Terms of Service describe your rights and our rights relating to OnGrid Services (as defined below). Please review these Terms carefully, since you’ll be legally bound by them as an OnGrid Services user.

What Are The Terms of Service?

The Terms of Service (“Terms”) is a legal agreement between you and OnGrid, Inc. (“OnGrid”). If you’re entering into this agreement on behalf of a company or other legal entity, you must have the authority to bind the entity to these Terms, and “you” or “your” includes both you personally and the entity.

What Are The OnGrid Services?

The OnGrid Services (“Services”) are services intended to help energy professionals sell solar electric systems effectively and responsibly.

The Services are accessed through a non-exclusive, non-transferable, non-sublicensable, limited license. OnGrid retains full ownership of the Services.

The Services include:

  1. All OnGrid modifications to Microsoft Excel (“Excel”) files made available through a Services license.
  2. All OnGrid websites made available through a Services license.

The Services require a compatible Excel version and occasional internet access.

Will These Terms of Service Ever Change?

Yes, OnGrid will change these Terms over time. The latest date-stamped Terms will be available at the OnGrid website. From time to time, OnGrid may notify you when we’ve made Terms changes. These notices will be sent to the email address you provided. Given that we won’t provide notice for all Terms changes, we suggest periodically checking the OnGrid website for Terms changes.

Does It Matter Where I Reside?

Yes, you must reside in the United States, Canada, or Mexico to use the Services.

Can I Share My User Account With Someone Else?

No, your user account is for your individual access to the Services. You won’t share your user account credentials. Co-workers and others are welcome to sign up for their own user accounts.

You won’t share Excel files received through a Services license with anyone who isn’t an active licensed OnGrid user.

Can I Reverse Engineer The Services?

No, you won’t reverse engineer, disassemble, or decompile OnGrid products. You won’t access background code, data, and calculations.

You won’t duplicate, copy, or reuse any portion of the visual design elements, HTML, CSS, or JavaScript. You acknowledge that the look and feel of the Services are copyrighted by OnGrid.

No Illegal Activity

You won’t use the Services for any illegal purpose or to violate any laws, including but not limited to copyright laws.

Who Owns Data I Enter and Other Modifications I Make?

All customer data you enter into Services is considered your property. All document designs you create in Services are also considered your property. Upon your request, OnGrid will make your customer data and document designs available to you in unlocked CSV or Excel files (provided that you share containing Excel files with OnGrid). This request must be made while your user account is active or within one year of the close of your user account. OnGrid may refuse your request for delivery of any other data entered or modifications made.

Is My Data Private and Protected?

OnGrid takes data privacy seriously. We won’t disclose your unique Services data to third parties without your consent, with two exceptions. We may disclose your data to third parties contracted to work on the Services who are bound by OnGrid to protect your data’s confidentiality. And we may disclose your data if compelled by law, provided we give you prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance if you decide to contest the disclosure.

OnGrid may collect and review anonymized and aggregated customer information from your user account in the interest of improving the Services. OnGrid may publish anonymized and aggregated customer information from your region in the interest of improving the solar industry. Any published anonymized and aggregated information won’t be traceable back to you, your entity, or your customers.

OnGrid may collect and review information related to how you use the Services. This information includes but isn’t limited to the number of devices you access the Services on, your Excel version(s), and your OnGrid Services settings and preferences.

OnGrid doesn’t guarantee that data stored in Excel files or transferred between Excel and OnGrid servers is encrypted. Excel file security is inherently limited — it’s your responsibility to keep Excel files within the Services in a secure location.

Your unique customer information won’t be uploaded to any servers by OnGrid unless you explicitly choose to upload it through a related Services option. We respect that some users prefer to keep unique customer information on their local device(s) only.

Does OnGrid Guarantee 24x7 Error-Free Universal Access to Services?

No, OnGrid doesn’t guarantee that the Services will be uninterrupted, timely, secure, or error-free. OnGrid doesn’t guarantee that the results obtained from the use of the Services will be accurate or reliable. OnGrid is not your accountant and use of the Services does not constitute the receipt of accounting advice. All warranties, including those of merchantability and fitness for purpose, are disclaimed in so far as is permitted by law.

YOU AGREE THAT ONGRID WON’T BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES RESULTING FROM THE USE OR INABILITY TO USE THE SERVICES.

OnGrid may stop supporting out-of-date versions of Excel files made available through the Services at any time. It’s your responsibility to keep these files up to date by accepting prompts to update within reasonable time periods.

If you choose to upload customer information to OnGrid servers, OnGrid may permanently remove it and your entire user account from our servers once your user account has been closed for six months.

OnGrid doesn’t currently restrict the number of devices you can access the Services on, but may restrict the number of devices in the future.

If you suffer loss or damage as a result of OnGrid's negligence or failure to comply with these Terms, any claim by you against OnGrid arising from OnGrid's negligence or failure will be limited in respect of any one incident, or series of connected incidents, to the OnGrid Services subscription fees paid by you in the previous 12 months.

Does OnGrid Vouch For Any Third Parties?

No, OnGrid doesn’t make any guarantees in connection with third-party resources integrated into or referenced by the Services. Valid use of third-party resources may require your acceptance of third-party terms of service.

What User Support Can I Expect?

OnGrid offers online documentation, but makes no guarantee that it’s up to date or comprehensive. Other technical support is provided by group support calls open to all OnGrid users, and by email. OnGrid also offers one-on-one technical support by phone, but may stop offering phone support at any time. OnGrid will typically respond to technical support requests within one business day, but may take longer to respond. OnGrid’s support hours are 8am to 12pm Pacific, Monday through Friday.

How Is My User Account Closed?

Your user account can be closed by you or an authorized representative at your entity by email (support@ongrid.net) or phone (855-982-1211). This is effective immediately, and there will be no further OnGrid charges for your Services access.

OnGrid may temporarily or permanently close your user account at any time for any reason.

Odds & Ends

OnGrid can reject your application to access Services in its sole discretion.

These Terms are in full effect for each OnGrid Services user, including trial users and other users accessing through a free license.

You won’t access the Services without OnGrid’s written permission if you directly compete with OnGrid.

These Terms apply to all changes to Services. Continued use of the Services after any such changes constitutes your consent to such changes.

Legal Outro

All requirements in this agreement, which by their nature are intended to survive any termination of these Terms, will survive.

If any provision of these Terms is contrary to law, the remaining provisions of these Terms will remain in full force and effect, and the said provision will be deemed modified to the extent necessary to make it within the law while still capturing OnGrid’s intention.

OnGrid’s failure to exercise or enforce any requirement in these Terms doesn’t constitute a waiver of such requirement.

OnGrid may seek injunctive relief, damages, or other relief based on an infringement of OnGrid’s intellectual property rights in and to Services. You consent to the jurisdiction of the federal and state courts located in Alameda, California for the purpose of resolving any action by OnGrid arising out of or relating to such intellectual property rights.

If you have a concern related to these Terms, we hope you'll first reach out to us by phone (855-982-1211) or email (support@ongrid.net). If we're unable to resolve the dispute, we each agree to resolve the dispute through binding arbitration instead of in courts of general jurisdiction. Arbitration will be conducted by the American Arbitration Association, and will take place in Oakland, California.

These Terms are the entire understanding of the parties and supersedes any previous or contemporaneous communications, whether oral or written.
